1

Parties and Purpose

This Talent Representation, On-Set Conduct, and Remuneration Agreement ("the Agreement") is made and entered into by and between WEALTH_A STUDIOS ("the Studio") and the individual identified in the Talent Identification schedule of this Agreement ("the Talent"). The Studio and the Talent are together referred to as "the Parties".

The purpose of this Agreement is to formalise the exclusive representation of the Talent by the Studio, to govern the Talent's conduct and holding-area containment while on set, and to set out the terms on which the Talent is booked, managed, and remunerated. This Agreement supersedes any prior oral or written understanding between the Parties concerning the same subject matter.

2

Representation and Booking Management

The Studio is engaged as the Talent's exclusive representative for the negotiation, booking, scheduling, and management of all professional engagements, including but not limited to modelling, acting, presenting, advertising, and production appearances.

The Studio shall use reasonable commercial efforts to secure engagements and manage the Talent's calendar, travel, and on-set obligations. The Talent shall not, directly or through a third party, accept or solicit any booking, engagement, or paid appearance except through the Studio. All bookings are subject to the Studio's confirmation in writing, including the date, time, location, and agreed fee for each engagement.

The Talent acknowledges that the Studio's management authority extends to the coordination of call times, transportation, wardrobe, and all other reasonable requirements of a professional engagement.

3

Thirty Per Cent (30%) Studio Cut and Remuneration

In consideration of the Studio's representation and management services, and as set out in Clauses 1.5 and 5.1 of the Studio's standard engagement terms, the Studio shall be entitled to a commission of thirty per cent (30%) of the gross remuneration earned by the Talent in respect of every engagement secured through the Studio.

The Talent shall receive seventy per cent (70%) of the gross remuneration net of the Studio's commission, subject to any lawful deductions or withholdings. No commission shall be charged on any engagement obtained by the Talent entirely independently and without any involvement or facilitation by the Studio, provided such engagement is disclosed to the Studio in writing within a reasonable time.

4

Financial Non-Disclosure and Rate Gag

The terms of this Agreement, including the Talent's rates, fees, commissions, and all associated financial arrangements, are strictly confidential. In accordance with Clause 3 of the Studio's standard terms, the Talent undertakes to keep confidential and shall not disclose, whether directly or indirectly, to any third party: (a) the fee or rate payable in respect of any engagement; (b) the amount of the Studio's commission; or (c) any other financial term of this Agreement, except as required by law or as authorised in writing by the Studio.

The Talent further agrees not to advertise, publicise, or otherwise reveal their remuneration on any platform, including but not limited to social media. Any breach of this clause shall constitute a material breach of this Agreement.

In the event of any breach of this clause, the Talent shall be liable to the Studio in liquidated damages of between fifty per cent (50%) and one hundred per cent (100%) of the remuneration payable under the relevant engagement, as determined by the Studio acting reasonably and taking into account the nature and extent of the breach. The Parties acknowledge that this figure is a genuine and reasonable pre-estimate of the loss likely to be suffered and is not a penalty.

5

On-Set Conduct and Holding Area Containment

In accordance with Clause 4 of the Studio's standard terms, the Talent shall at all times while on set conduct themselves professionally, follow the reasonable direction of the production team, and remain within the designated holding area for the duration of call time unless expressly permitted to leave.

The Talent shall remain available in the holding area at the scheduled call time and shall not be absent, unreachable, or unready when required for a scene or segment. The Talent shall comply with all safety, security, and confidentiality requirements of the production.

Failure to comply with on-set conduct requirements, or to remain within the holding area, shall entitle the Studio to forfeit one hundred per cent (100%) of the Talent's fee for the affected engagement. Where the Talent's absence, lateness, or non-compliance causes delay to the production, the Talent shall be liable for all resulting delay costs, including crew overtime, re-shoots, lost studio time, and related expenses, and the affected fee shall be forfeited in full.

6

Direct Payment Trust and 24-Hour Remittance

All remuneration for each engagement shall be paid directly into the trust account operated by the Studio. In accordance with Clause 5.3 of the Studio's standard terms, the Studio shall remit the Talent's share of the remuneration within twenty-four (24) hours of receipt of cleared funds from the client.

Where the Studio fails to remit the Talent's share within the twenty-four (24) hour period, the outstanding amount shall bear a surcharge lien of one hundred per cent (100%) of the amount due, to be applied as liquidated damages for the delay. The Studio shall provide the Talent with a written statement of the engagement fee, the commission applied, any lawful deductions, and the net amount remitted.

7

Twelve-Month Non-Circumvention

In accordance with Clause 6 of the Studio's standard terms, the Talent shall not, for a period of twelve (12) months from the date of this Agreement or from the last date of any booking facilitated by the Studio (whichever is later), directly approach, contract with, or otherwise circumvent the Studio in respect of any client, producer, casting director, brand, or third party introduced to the Talent by or through the Studio.

Any engagement obtained with such a party within the twelve-month period shall remain subject to the Studio's commission set out in Clause 3, and the Talent shall disclose such engagement to the Studio in writing immediately upon its occurrence. This clause shall survive the termination of this Agreement.
